At Qiang Yi Tang (qiangyitang.com), operated by Zheng Qiang Herbal Remedies Sdn Bhd ("Company", "we", "us", or "our"), we are committed to conducting our business with the highest standards of integrity, ethics, transparency, and accountability. We maintain a strict Zero-Tolerance Policy against all forms of bribery, corruption, extortion, and illegal gratification in all our business transactions and operational activities.
This Anti-Bribery and Anti-Corruption Policy ("ABC Policy") is established in alignment with the Malaysian Anti-Corruption Commission Act 2009 (MACC Act 2009), including the corporate liability provision under Section 17A, and the Prime Minister’s Department’s Guidelines on Adequate Procedures (T.R.U.S.T. Principles).
Core Commitment: Qiang Yi Tang will never offer, promise, give, request, accept, or receive bribes, kickbacks, or improper financial advantages, directly or indirectly, under any circumstances.
1. Scope and Applicability
This Policy applies strictly across our entire organization and extends to all individuals and entities associated with Qiang Yi Tang, including but not limited to:
- All Directors, Board Members, Officers, and Executive Management;
- All permanent, temporary, contract, or probationary employees;
- All third-party partners, including herbal suppliers, raw material vendors, logistics couriers, agents, distributors, contractors, consultants, external practitioners, and service providers acting for or on behalf of the Company.
2. Prohibited Conduct and Guidelines
2.1 Bribery and Kickbacks
Bribery refers to offering, promising, giving, requesting, receiving, or soliciting anything of value (financial or non-financial) to induce, reward, or improperly influence an official, commercial decision, or business outcome. Employees and representatives are strictly prohibited from soliciting or accepting kickbacks or illegal payments from suppliers or service partners.
2.2 Facilitation Payments ("Kopi Money")
Facilitation payments are informal, unofficial payments or gifts made to secure, expedite, or guarantee routine administrative or governmental procedures (e.g., licensing, permit renewals, customs clearances). Qiang Yi Tang strictly prohibits facilitation payments in any form.
2.3 Gifts, Corporate Hospitality, and Entertainment
We recognize that customary gifts and business hospitality may be extended during festive seasons (e.g., Chinese New Year) as a gesture of goodwill. However, all gifts and entertainment must adhere to the following principles:
- Modesty and Legitimacy: Must be reasonable, modest, lawful, and proportional in value.
- No Obligation or Quid Pro Quo: Must never be given or accepted with an implicit or explicit expectation of business favor, preferential treatment, or reciprocal advantage.
- Prohibition on Cash: Cash, cash equivalents (e.g., gift cards, vouchers, red packets/Angpao, crypto assets), and personal loans are strictly prohibited.
- Transparency: Any corporate gift or hospitality exceeding the Company’s internal threshold must be declared and pre-approved by Executive Management.
2.4 Political Contributions and Charitable Sponsorships
- Political Neutrality: Qiang Yi Tang maintains strict political neutrality and does not make financial or in-kind donations to political parties, candidates, or political campaigns.
- Charitable Donations & CSR: Corporate donations, community sponsorships, and CSR initiatives are permitted only if they are legitimate, lawful, transparent, and verified to ensure funds are not used as a cover for bribery.
2.5 Conflict of Interest
A conflict of interest arises when personal, financial, or family interests interfere, or appear to interfere, with an individual's professional judgment and loyalty to Qiang Yi Tang. All employees and partners must promptly disclose any actual, potential, or perceived conflicts of interest to Executive Management.
3. Third-Party Due Diligence & Vendor Management
We hold our business partners to the same rigorous ethical standards that we observe. Before engaging third-party suppliers, distributors, or external consultants, Qiang Yi Tang performs reasonable due diligence to assess their legal compliance, reputation, and anti-corruption measures. Third-party contracts must include standard anti-bribery compliance clauses.
4. Whistleblowing Channel & Reporting Mechanism
We encourage all employees, customers, suppliers, and public stakeholders to report any suspected, actual, or attempted acts of bribery, corruption, fraud, or unethical behavior in good faith.

Protection & Non-Retaliation Assurance
- Confidentiality: All reports received will be treated with strict confidentiality to the maximum extent permitted by Malaysian law.
- Whistleblower Protection: Qiang Yi Tang guarantees that no individual reporting in good faith will suffer retaliation, harassment, discrimination, or adverse employment consequences, even if the report is subsequently unproven.
5. Penalties for Non-Compliance
- Employees & Directors: Any employee or director found in breach of this ABC Policy will face severe disciplinary action, up to and including immediate summary dismissal and potential civil/criminal legal proceedings.
- Third Parties & Vendors: Non-compliance by vendors, contractors, or external agents will result in immediate termination of contractual agreements, blacklisting, and reporting to legal authorities.
- Legal Consequences under MACC Act 2009: Violations of anti-corruption laws in Malaysia carry severe statutory penalties, including fines of not less than 10 times the sum/value of the gratification (or RM1 million, whichever is higher) and/or imprisonment up to 20 years.
6. Governance, Monitoring, and Review
Executive Management is responsible for overseeing the implementation, periodic risk assessments, continuous monitoring, and enforcement of this ABC Policy. This policy will be reviewed periodically to ensure alignment with legal developments and industry best practice standards.

核心承诺: 强益堂绝不直接或间接向任何人提供、承诺、给予、索取或接收任何形式的贿赂、回扣或不正当商业利益。
一、 适用范围与对象
本政策严格适用于本公司整体组织架构,并涵盖所有与强益堂相关的个人及实体:
- 所有董事会成员、高管人员及管理层;
- 所有正式员工、临时员工、合约员工及试用期员工;
- 所有第三方合作伙伴,包括中药材供应商、原料厂商、物流快递公司、代理商、经销商、承包商、顾问、合作医师及代表本公司行事的外部服务商。
二、 禁止行为与准则细则
2.1 商业贿赂与非法回扣 (Bribery & Kickbacks)
贿赂是指向任何个人或机构提供、承诺、给予、索取或收受任何有价值的事物(无论财务或非财务),以诱导、回报或不正当影响商业决策或官方行为。本公司员工及代表严禁向任何供应商或服务商索取或收受任何形式的回扣或私利。
2.2 变相便利费 /“咖啡钱”(Facilitation Payments)
便利费(俗称“咖啡钱”)是指为加快、促成或保障例行公事或行政审批(如执照申请、准证更新、海关通关)而支付给公职人员的非官方小额款项或礼物。强益堂严禁支付任何形式的便利费。
2.3 礼品、商务款待与娱乐活动 (Gifts & Entertainment)
我们理解在传统节日(如农历新年)期间适度赠送礼品系商业社交礼仪,但所有礼品与款待必须符合以下原则:
- 适度与合法: 价值必须合理、适度、合法且符合常规商业礼仪。
- 无利益交换条件: 绝不可带有寻求商业优惠、特殊照顾或对价交换(Quid Pro Quo)的目的。
- 严禁现金及等价物: 严禁赠送或收受现金、现金等价物(如礼券、代金券、红封/红包、虚拟货币)及个人贷款。
- 透明与申报: 凡超过本公司规定内部额度的礼品或款待,必须主动向管理层申报并获得事前批准。
2.4 政治捐赠与慈善赞助 (Political & Charitable Contributions)
- 政治中立: 强益堂保持严格的政治中立,不向任何政党、政治候选人或政治活动提供资金或实物赞助。
- 慈善捐赠与社会责任: 本公司的慈善捐赠与社会责任(CSR)项目必须真实、合法、透明,且经过严格审核,确保款项不被用作掩盖贿赂的工具。
2.5 利益冲突 (Conflict of Interest)
当个人、财务或家庭利益与本公司的整体利益发生冲突,从而影响客观履行职责时,即构成利益冲突。所有员工与合作伙伴必须主动且及时向管理层书面披露任何实际、潜在或表面上的利益冲突。
三、 第三方尽职调查与供应商管理
我们要求商业合作伙伴恪守与强益堂同等严格的商业道德标准。在合作前,强益堂将对第三方供应商、经销商及顾问开展适当的尽职调查,评估其合规记录与诚信度。所有第三方合作合同均须包含反贿赂合规条款。
四、 吹哨者举报机制与保密承诺 (Whistleblowing)
强益堂鼓励所有员工、顾客、供应商及公众对任何疑似、实际发生或试图进行的贪污、贿赂、欺诈或违规行为进行善意举报。

- 保密性: 在马来西亚法律允许的最大范围内,所有举报内容及举报人身份将被严格保密。
- 防止报复保护: 强益堂郑重承诺,任何出于善意进行举报的人士均受保护,绝不会因举报而遭受解雇、降职、骚扰、歧视或任何形式的报复打击。
五、 违规惩戒与法律责任
- 内部员工与管理层: 凡违反本政策的员工或董事,将面临严厉的内部纪律处分,最高可至即时解雇,并可能面临民事诉讼或刑事起诉。
- 第三方合作伙伴: 违反本政策的供应商、承包商或代理商,本公司将立即终止商业合作,列入黑名单,并移交执法机关处理。
- 法律法定惩罚: 根据马来西亚《2009年反贪污委员会法令》(MACC Act 2009),触犯贪污罪行将面临严厉刑罚,包括被判处不少于贿赂金额 10 倍或 100 万令吉(以较高者为准)的罚款,以及最高 20 年监禁。

本公司管理层全权负责监督本政策的执行、定期进行贪污风险评估、实施持续监控并确保合规。本政策将定期进行审阅与更新,以适应最新法律法规及行业最佳规范。
